Liability Release & Waiver

1. Assumption of risk

You understand that PowerABL is cloud software accessed over the internet. You assume all risks associated with storing business, financial, and inventory records electronically, including service interruptions, user error, and third-party outages.

2. No professional advice

PowerABL does not provide legal, tax, accounting, investment, or banking advice. All calculations, worksheets, and estimates are informational only. You must verify every figure with qualified licensed professionals before filing taxes, remitting sales tax, or making financial decisions.

3. Release of liability

To the maximum extent permitted by applicable law, you hereby release, waive, discharge, and hold harmless PowerABL, its operators, affiliates, contractors, and licensors from any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from or related to:

  • Your use or inability to use the service
  • Tax penalties, interest, audits, or filing errors
  • Inventory valuation, pricing, or profit/loss calculations
  • Bank linking, balance displays, or payment processing by third parties
  • Store sync, webhooks, or marketplace listing errors
  • Unauthorized access to your account due to weak passwords, shared credentials, or device compromise
  • Data loss except where prohibited by law and solely caused by our gross negligence

4. Limitation of damages

Our total aggregate liability for any claim shall not exceed the greater of (a) fees you paid us in the twelve (12) months before the claim, or (b) fifty U.S. dollars ($50). We are not liable for indirect, incidental, special, consequential, or punitive damages.

5. Indemnification

You agree to defend, indemnify, and hold us harmless from claims brought by third parties arising from your business operations, your data, your violation of law, or your breach of these terms.

6. Proof of acceptance

When you check the acceptance box, we record a timestamp, policy version, document type, and a one-way SHA-256 hash of your IP address and browser signature (not stored in plain text). Declines are also logged. You may not use PowerABL without accepting all required documents.

7. Governing law

These terms are governed by the laws of the State of Louisiana, USA, without regard to conflict-of-law rules. Disputes shall be resolved in courts located in Louisiana unless otherwise required by law.

If any provision is unenforceable, the remainder stays in effect. See also Terms of Service and Privacy Policy.
